A PSC is usually someone who holds more than 25% of shares or voting rights in a company, or has the right to appoint or remove the majority of the board of directors.
When do I need to update the register?
You must update your own company's PSC register within 14 days of any change occurring. You then have another 14 days to file this information with Companies House.
What if the PSC is another company?
If your company is owned by another company, that parent company is a 'Relevant Legal Entity' (RLE) and must be entered on the register instead of an individual, provided it keeps its own PSC register.
Can I have no PSCs?
Yes, it is possible for a company to have no PSCs if no single individual meets the criteria (for example, if four people each own exactly 25% of shares, no one owns more than 25%). However, you must still file a statement confirming this.
